News Meta stock split 2-1. New issuance of 1 newly created class C share for every class A and B. C shares will have no voting rights
Earnings:
The Board of Directors has approved the establishment of a new class of publicly listed, non-voting Class C common stock, with an effective date in January 2027.
The approval by Meta's Board follows the unanimous recommendation of a Special Committee of disinterested and independent directors, which was established by the Board to evaluate the company's capital structure. The Special Committee and the Board determined that creating this new class of stock is advisable, fair, and in the best interests of Meta and its shareholders for a number of reasons, including:
- Creating a New Class of Shares for Capital Raising, Employee Compensation, Potential Acquisitions, and Other General Corporate Purposes – The scale of investment required to compete, sustain growth, expand infrastructure, and pursue new strategic initiatives amidst the AI transformation taking place in the industry is significant. The Special Committee determined this new class of common stock will provide Meta the ability to finance its growth and help the company remain a leader among fierce competition both domestic and international.
- Continuing to Maximize Long-Term Value for All Shareholders – Since Meta's formation, its management team has prioritized long-term goals and value creation, and its stock price has increased by more than 1,700% since its IPO. By contrast, over the same period, the S&P 500 has increased approximately 495%. The Special Committee wants Meta to continue innovating with an emphasis on long-term growth, which the creation of the Class C stock is intended to help facilitate.
- Ensuring Founder and CEO Mark Zuckerberg Continues to Lead Meta into the Next Era – The Special Committee concluded that Mr. Zuckerberg is best suited to lead Meta into its next era and beyond. They recognized that Meta's track record of significant value creation for its shareholders is in large part due to his strong leadership, unique and creative vision, and exceptional management abilities. The creation of the Class C common stock will continue the founder-led model that has driven the company's success since its inception.
Meta intends to file an amended and restated certificate of incorporation in Delaware to establish the Class C common stock, with an effective date of January 19, 2027. The Board has also declared a one-time stock dividend of one share of Class C common stock for each outstanding share of Class A common stock and Class B common stock, contingent upon, and to be paid after, the effectiveness of the amended and restated certificate of incorporation.
The record date and payment date of the stock dividend will be determined by the Board at a later date. After the payment date of the stock dividend, we expect the market price for our Class A common stock to reflect the effect of a two-for-one stock split. The stock dividend will not change the voting power of any shareholder.
The amended and restated certificate of incorporation has been approved by shareholder written consent. We have also entered into a Founder Alignment Agreement with Mr. Zuckerberg, which has terms related to his sales of Class C common stock received in the stock dividend, his service at the company, and conditions for potential future stock dividends of Class C common stock.
Meta's Class A common stock will continue to trade on Nasdaq, and we intend to qualify the Class C common stock for listing on Nasdaq upon its issuance as a result of the stock dividend. More information will be available in our Report on Form 8-K and information statement to be filed with the Securities and Exchange Commission.

DD ASTSpacemobile is the future of Satellite connectivity - DD
In this DD i will try to explain to you regards how good of an investment ASTS is currently, while trying to be at least somewhat impartial. Here we go.
So ASTS is currently doing what no other company did before, and that is providing mobile data through satellites using frequencies that current smartphones support without any modifications. Today I will go through some strengths and weaknesses of this company:
- ASTS is very far ahead of SpaceX in regards to the Direct-2-Cell market as ASTS already has 13 satellites in orbit and 3 more are due to be launched soon. They have also announced the start of intermittent service in Developed markets by early 2027. Some of these markets include US, Japan, United Kingdom, Canada and Saudi Arabia.
- They have VERY strong partners, some of them including AT&T, Verizon, Vodafone, Google, Bell, Deutsche Telekom, Telefonica and Orange. This, along the recent dispute between SpaceX and T-Mobile(an affiliate company of Deutsche Telekom) shows that Mobile Network Operatos are serious about preventing SpaceX from becoming a real threat to their market share, and they will use ASTS to prevent this from happening.
- SpaceX is facing scrutiny from the European Union as they have stopped Starlink Service in Ukraine. This will cause the EU to and other countries to adopt SpaceX competitors in order to prevent the US from shutting down their infrastructure, one may argue that ASTS is also american, and to this i say that Europoors are chuds who will still choose ASTS since they're the best option possible.
- They also have military capabilities, since current smartphones do not need any modifications, soldiers would be able to carry normal modern smartphones, while also being cheaper than traditional satellite brick phones making them very attractive for governments to work with them.
- They own over 3400 patents and patent-pending claims.
- Their current constellation is planned for 248 satellites. But they only need 96 for full global service and should have 48 up by the EOY.
- Future dilution is improbable as they have plenty of cash on hand ($2.28B).
- They also claim to have a $1.3B backlog, indicating strong demand.
- They recently hired 500 people in order to speed up production
- Deutsche Bank upgraded them to a buy with a $108 PT
I said I am trying to be impartial, so here are some of the weaknesses of this stock too:
- One of the very big caveats about this company is that they are dependent on launch providers, one of them being SpaceX, although with a legally binding contract elon is pretty close to the trump admin, allowing Elon to flat out refuse launching rockets for ASTS, although they do have Blue Origin as another launch provider they launch rockets a lot less often than SpaceX.
- They do not really own the frequency spectrum, the Mobile Network Operators do.
- Starlink also have a larger fleet size, while their mobile data is currently ass, their Direct-2-Cell capabilities improve as more V3 satellites go up. SpaceX also plans on building ground coverage too, allowing them to offer service in populated areas too.
- They also have a record of not being on schedule with their launches, as initially the 45 satellites that were supposed to be up by the end of this year have been delayed to Early 2027.
- Piper downgraded them from Overweight to Neutral $98 -> $54 PT
- B. Riley downgraded them from Buy to Neutral with a $65 PT
Overall, this company is indeed high risk, but with a very high upside potential so this is why i have my entire university fund on it. I will either show you all my fully paid off degree or end up a degenerate bum.

Discussion If others can do circular then SpaceX and Tesla can certainly do 69
Yesterday SpaceX reported good earning, especially big one from AI section. There is also news about Anthropic losing big.
You'd wonder how special SpaceX is to be able to pull big.
My theory is that SpaceX and Tesla was and is still doing 69.
To be included in SP500 index, a company needs to be profitable. SpaceX was not, Tesla was. SpaceX has AI computing power and Tesla can pay for it, just like SpaceX bought approximately $131 million worth of Cybertrucks from Tesla in 2025.
Tesla will report earning after hour. If they report below than before that's the indication of 69 mutual benefit.
Not financial advice.

Loss "Safe" fullport gone wrong
Sooo the other day I fullported AVEX and was just expecting to make a nice lil 3% nothing crazy. Smallcap defense contractor looking pretty solid, making some nice small swings the past few days, that sort of thing. I only bought shares at that. I wake up and open my port and I'm down 24%. These are the times that try men's souls. Unbelieveable. Turns out the Navy cancelled a huge contract for autonomous drone boats and some insiders and investigators at the pentagon decided to leak it (if I ever get my hands on them...) https://www.barrons.com/articles/aevexs-drone-boats-navy-cheaper-weapons-pivot-45c3cc21 . Made a safe non regarded play and still got crushed. Unbelieveable how bad my luck is. Buying it just the day prior, that specific day and time. The market is fucking rigged. Only AAOI can save me now, currently fullporting it, not selling till 150.
